The discussion about The VOC Spares Company Limited Articles mentioned In the Spares Chair in MPH 861 is drawing to a close. The Board has agreed the new Articles and Chairman Arthur Farrow has a summary of the changes on the VOC Spares Company website. My summary of the summary is that we have adopted the recommended Articles with a few small changes covering: declaring Directors’ conflict of interest; re-election of Directors; number of Directors; and treatment of shares for “lost” shareholders.

Have a look on the website if you want to know more, but the aim has been to stick closely to the principles in the current documents whilst bringing things up to date. On the website you’ll also find that the Special Meeting to vote on the Articles is 16 December 2020 at 11.00 GMT and will take place over Zoom. Shareholders wishing to join the meeting and vote should inform the Company Secretary on company.secretary@vincentspares.co.uk before the meeting. They will then receive details of how to access the Zoom call prior to the meeting.

How does one make sure his shares owned are not counted among the “lost” shares?
By keeping their record at the spares company up to date when they move house, transferring the shares if the owner dies (shares are only valid to the named owner) and finally keeping an eye on the company web site and MPH for AGM and other notices. There are hundreds of returned AGM notices "return to sender" gathered over the years in the company records. Now MPH and the VOCSC Web site are from this year the information points to be aware of.
